1. Purpose and Scope
These General Terms and Conditions of Sale (hereinafter “GTC”) govern all contractual relationships between Boost Review, a trade name operated by a sole proprietorship headquartered at 5059 Rue de Brébeuf, Montreal (Quebec) H2J 3L6, Canada (hereinafter “the Service Provider”), and any business customer (a legal entity or self-employed individual acting in the course of their business activities) who has subscribed to one of the services offered on the boost-review.ca website (hereinafter “the Customer”).
These Terms and Conditions apply exclusively to business-to-business (B2B) transactions. They expressly exclude any consumer as defined by the Quebec Consumer Protection Act.
Any order implies full and unconditional acceptance of these Terms and Conditions, without reservation or condition. The Customer acknowledges having read and understood them prior to making any purchase.
2. Description of Services
The Boost Review subscription provides access to the following features:
— Access to the Boost Review software: a SaaS platform that allows you to create and manage a customized gamified prize wheel (logo, colors, prizes), accessible via the online customer portal.
— Custom QR code: Generation of a QR code linked to the Client’s game page, which can be used on any physical or digital medium.
— Flyer design: graphic design of a flyer incorporating the QR code, logo, and the Client’s colors. This service covers graphic design only; printing and distribution are the sole responsibility of the Client.
— Real-time results tracking: dashboard accessible from the customer portal.
— Video support: access to video resources to help you set up your campaign.
— Customer support: assistance via WhatsApp, available 7 days a week.
— Strategic advice: personalized recommendations to optimize results.
The Service Provider reserves the right to update the software’s features at any time, provided that such changes do not substantially impair the service subscribed to.
3. Rates and Payment Terms
Price: The subscription costs $199 CAD per month, plus applicable taxes where applicable.
Payment: Payment is accepted exclusively by credit card via the secure Stripe platform (stripe.com). The Service Provider does not retain any of the Customer’s banking information; such information is processed directly by Stripe in accordance with its own security policy.
Automatic payment: By subscribing to the service, the Customer authorizes Stripe to charge a recurring monthly fee on the anniversary date of the initial subscription.
Failed payment: If a direct debit fails, the Service Provider reserves the right to suspend access to the service within 5 business days, after notifying the Customer by email. Access will be restored once the payment has been settled.
No refunds will be issued for any period that has already been billed and is currently in progress, regardless of whether the termination is initiated by the Client or the Service Provider, unless there is proven gross negligence on the part of the Service Provider.
4. Term and Termination
Term: There is no minimum contract term for this subscription. It is automatically renewed each month on the anniversary date of the subscription until canceled.
Cancellation by the Customer: The Customer may cancel their subscription at any time, without notice, by simply sending an email to [your email address] clearly stating their request for cancellation and providing the necessary identification information (name, email address associated with the account).
Termination takes effect immediately upon receipt of the email by the Service Provider. Access to the software and all services will be terminated immediately. No pro-rata refund will be granted for the remainder of the current month.
Termination by the Service Provider: The Service Provider reserves the right to terminate the subscription with immediate effect, without compensation, in the event of:
— non-payment not resolved within the specified time frame;
— use of the service in violation of these Terms and Conditions, applicable law, or Google’s Terms of Service (particularly with regard to the collection of reviews);
— abusive behavior toward the Service Provider or their team.
Important note: Boost Review relies on Google’s review system. Google explicitly prohibits offering any incentive in exchange for a positive review. Make sure your customer terms of service (if you have them) and your communications state that reviews must be genuine. This protects you in the event of a dispute.
5. Access to the Service and Customer Obligations
Access to the Boost Review software is personal and non-transferable. Login credentials are strictly confidential; the Customer is solely responsible for keeping them secure.
The Customer agrees to:
— use the service exclusively in the course of their lawful professional activities;
— Do not attempt to circumvent, hack, or alter the software;
— Do not resell, sublicense, or transfer access to the service to a third party;
— comply with Google’s terms of service regarding reviews (authenticity, no misleading solicitation);
— provide accurate information when applying.
6. Limitation of Liability
The Service Provider agrees to provide the service with all reasonable care. However, it shall not be held liable for:
— results achieved by the Client in terms of the number of reviews, average rating, or Google visibility, as these results depend on external factors (end-user behavior, Google’s policies, industry sector, etc.);
— service interruptions caused by outages at the hosting provider (Hostinger), Stripe, Google, or any other third-party service provider;
— unilateral changes to Google’s Terms of Service that could affect the operation or legality of the review system;
— any indirect damages, loss of revenue, or loss of profits resulting from the use of or inability to use the service.
In any event, the Service Provider’s liability shall be limited to the total amount actually received from the Client during the three (3) months preceding the event giving rise to the dispute.
7. Intellectual Property
The Boost Review software, its interface, its algorithms, and all of its components are the exclusive property of the Service Provider. The subscription grants the Customer a personal, non-exclusive, and non-transferable right of use, limited to the duration of the subscription.
Any graphic elements provided by the Client (logo, brand guidelines) remain the Client’s property. The Client authorizes the Service Provider to use them exclusively for the purposes of the service (customization of the wheel and the flyer).
The Service Provider reserves the right to cite the Client as a business reference, unless the Client objects in writing.
8. Personal Information
As part of the contractual relationship, the Service Provider collects and processes the personal data of the Client’s representatives (name, email address, phone number) in accordance with its Privacy Policy, available at boost-review.ca, and the provisions of Bill 25 (Quebec) and PIPEDA (Canada).
This data is used exclusively for subscription management, billing, and customer support. It is not sold to third parties.
9. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of the Province of Quebec and the federal laws of Canada.
In the event of a dispute, the parties agree to first seek an amicable resolution. If no agreement is reached within 30 days of notification of the dispute, the courts of the judicial district of Montreal (Quebec) shall have jurisdiction, and the parties hereby expressly submit to the jurisdiction of those courts.
10. Changes to the Terms and Conditions
The Service Provider reserves the right to modify these Terms and Conditions at any time. The Customer will be notified of any changes by email at least 15 days before they take effect. Continued use of the service after this period constitutes acceptance of the new Terms and Conditions. If the Customer does not accept the changes, they may cancel their subscription at no cost within this 15-day period.
